Part One

Payment Authorization & Cardholder Agreement

Please read these Payment Authorization and Cardholder Terms carefully before submitting your payment information. By providing your credit or debit card information, or by checking the box indicating your acceptance, you acknowledge and agree to be bound by the following Terms and Conditions. These Terms govern your authorization for payment processing conducted by an Independent Agency operating within the Avoya Travel Network ("Independent Agency") and apply to payments made directly by you through an authorized payment portal or through an Independent Agency representative acting on your behalf.

1.Purpose and Scope

These Terms and Conditions set forth the rights and obligations of the individual providing payment authorization ("Customer") in connection with travel purchases facilitated by an Independent Agency that is a member of the Avoya Travel Network. This Agreement applies to (a) payments processed by an Independent Agency on behalf of the Customer for any type of travel service; and (b) payments submitted directly by the Customer via a secure payment portal in connection with cruise travel or related services.

2.Definitions

"Customer"
means the individual providing payment authorization for one or more travel purchases.
"Independent Agency"
means an independently owned and operated travel business participating in the Avoya Travel Network.
"Avoya Travel"
refers to Avoya Travel, a Florida-based host travel network that provides technology, marketing, and booking systems to Independent Agencies, but is not a contracting party to any travel transaction.
"Supplier"
refers to any cruise line, tour operator, airline, hotel, or other third-party vendor that provides the travel services purchased.

3.Authorization to Charge

By providing payment details, the Customer authorizes the Independent Agency, as a duly appointed sales intermediary, to use the provided credit or debit card solely for the purpose of paying deposits, final balances, fees, or other approved travel-related charges to the relevant Supplier(s).

For transactions where the Independent Agency collects card information, such information will be securely transmitted and stored in a PCI-compliant manner for no longer than thirty (30) days, or until the charge is completed, whichever occurs first.

For payments entered directly by the Customer through a designated payment portal, the information will not be stored by the Independent Agency or Avoya Travel but will be securely transmitted to the Supplier for processing.

The Customer's authorization extends to all approved charges associated with the booking, including but not limited to Supplier-imposed fare adjustments, taxes, fees, surcharges, or other supplemental costs disclosed by the Supplier or required by law.

4.Payment Processing and Merchant of Record

The Customer acknowledges and agrees that neither the Independent Agency nor Avoya Travel is, or shall be deemed to be, the merchant of record for any transaction. All payments are processed by the respective Supplier providing the travel services, and all charges will appear under the Supplier's name on the Customer's financial statement.

Neither Avoya Travel nor the Independent Agency assumes any responsibility for the Supplier's acts, errors, or omissions, including the acceptance, decline, or cancellation of any transaction.

5.Customer Representations and Warranties

The Customer represents and warrants that:

  1. the information provided is true, complete, and accurate;
  2. the Customer is the named cardholder or is duly authorized to use the card on behalf of the named cardholder;
  3. the Customer has obtained all necessary consent from the cardholder to authorize the transaction(s); and
  4. the Customer and/or cardholder shall remain liable for any charges processed in accordance with this authorization, including charges disputed with the issuing bank that are determined to be valid.

The Customer further agrees to promptly notify the Independent Agency of any updates or changes to payment information prior to the completion of the transaction.

6.Data Security and PCI Compliance

For agent-assisted payments, the Independent Agency shall collect and transmit payment information in a manner consistent with the Payment Card Industry Data Security Standards (PCI DSS) and will not retain full card data beyond the permitted retention period noted above.

Other than the content you own, under these Terms, Guided Path Travel and/or its licensors own all the intellectual property rights and materials contained in this Website.

You are granted limited license only for purposes of viewing the material contained on this Website.

Restrictions

You are specifically restricted from all of the following:

  • Publishing any Website material in any other media;
  • Selling, sublicensing, and/or otherwise commercializing any Website material;
  • Publicly performing and/or showing any Website material;
  • Using this Website in any way that is or may be damaging to this Website;

Any user ID and password you may have for this Website are confidential and you must maintain confidentiality as well.

In these Website Standard Terms and Conditions, "Your Content" shall mean any audio, video, text, images, or other material you choose to display on this Website. By displaying Your Content, you grant Guided Path Travel a non-exclusive, worldwide, irrevocable, sub-licensable license to use, reproduce, adapt, publish, translate, and distribute it in any and all media.

Your Content must be your own and must not be invading any third-party's rights. Guided Path Travel reserves the right to remove any of Your Content from this Website at any time without notice.

Travel Arrangements and Third-Party Suppliers

Guided Path Travel acts solely as an independent travel advisor and intermediary, arranging travel services that are owned, operated, and provided by third-party suppliers, including cruise lines, tour operators, airlines, hotels, transfer companies, and other vendors ("Suppliers"). Guided Path Travel is not itself a Supplier and does not own, operate, or control any of the travel services it arranges.

All travel services are subject to the terms and conditions of the applicable Supplier, including their booking, payment, change, cancellation, and refund policies, which form a separate contract between you and the Supplier. You agree to review and be bound by those terms.

To the fullest extent permitted by law, Guided Path Travel is not responsible or liable for the acts, errors, omissions, representations, warranties, or negligence of any Supplier, or for any injury, death, loss, damage, delay, schedule change, cancellation, or overbooking arising from such causes. Guided Path Travel is also not responsible for any loss or harm arising from events beyond its reasonable control, including but not limited to weather, natural disasters, acts of God, strikes, labor disputes, government actions, civil unrest, epidemics, pandemics, public health emergencies, mechanical failures, or other force majeure events.

Pricing and Information Accuracy

Travel pricing, availability, itineraries, and other information presented on this Website or otherwise provided are subject to change at any time without notice and are not confirmed until booked with the applicable Supplier. While Guided Path Travel makes reasonable efforts to ensure accuracy, this Website may contain typographical errors, inaccuracies, or omissions relating to pricing, descriptions, or availability. Guided Path Travel reserves the right to correct any such errors and to update information at any time without prior notice, and is not bound by any inaccurate or erroneous pricing.

Third-Party Links

This Website may contain links to third-party websites, including those of Suppliers and partners, that are not owned or controlled by Guided Path Travel. Guided Path Travel has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. Accessing any linked website is done at your own risk, and you are encouraged to review the terms and privacy policies of any website you visit.

Privacy and Personal Information

When you contact Guided Path Travel or submit an inquiry through this Website, you may provide personal information such as your name, email address, telephone number, travel preferences, and trip details. Guided Path Travel collects this information for the purpose of responding to your inquiry, providing travel advisory services, and arranging travel on your behalf.

To arrange and service your travel, Guided Path Travel may share your information with the relevant Suppliers, the Avoya Travel Network, and the service providers that support the operation of this Website and its booking and communication systems. Guided Path Travel does not sell your personal information. This Website is hosted and supported by third-party service providers that may automatically collect limited technical information, such as IP address and browser type, in the course of operating the site.

Guided Path Travel retains personal information only as long as necessary to provide its services or as required by law. To request access to, correction of, or deletion of your personal information, please contact GuidedPathTravel@gmail.com.

No Warranties

This Website is provided "as is," with all faults, and Guided Path Travel expresses no representations or warranties, of any kind related to this Website or the materials contained on this Website. Also, nothing contained on this Website shall be interpreted as advising you.

Limitation of Liability

In no event shall Guided Path Travel, or any of its officers, directors, or employees, be held liable for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract, tort, or otherwise. Indemnification

Variation of Terms

Guided Path Travel is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.

Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of this Website shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Pasco County, Florida.

Assignment

Guided Path Travel is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between Guided Path Travel and you in relation to your use of this Website, and supersede all prior agreements and understandings.
